# nCino Events Terms & Conditions

This page contains the terms and conditions for attending nCino events.

In consideration of being permitted to enter and attend a live or virtual nCino-sponsored conference, meeting, or event (each, an **“Event” **and collectively, **“Events”**) you agree these terms and conditions (these **“Terms”**) govern your registration for and participation at any Event form an agreement between nCino OpCo, Inc. (or such other applicable nCino parent, subsidiary, or affiliate) (**“nCino”**) and you or any individual upon whose behalf you registered for an Event (**“you,” “your,” or “Attendee” **may be used interchangeably herein).

**Acceptance of Terms**

By registering for or attending an Event in any capacity, you agree to and accept these terms. You must not complete registration or attend an Event if you do not agree to these Terms. nCino may change these Terms at any time in its sole discretion with or without notice to you. These Terms survive the completion of any Event or any Event cancellation.

If you are registering on behalf of another individual, it is your responsibility to ensure the person participating is aware of these terms and accepts them. By completing the registration on behalf of another individual that individual is agreeing to and accepting the Terms.

**Registration**

To register for the Event, you must complete the Event registration process and pay any registration fees. Full payment is due at time of registration. Registration for an Event is not valid until you have received written confirmation from nCino by email or other printed or electronic means.

Each Event registration is good for only one (1) named Attendee. You must not share Event badges or credentials with any other party.

You may transfer Event badges or credentials to another party up to the day before the first scheduled date of an Event by contacting nCino through the instructions provided on an Event registration webpage.

Unless the Event’s registration webpage specifies otherwise or we expressly inform you otherwise, you must be at least 21 years of age on the first day of the Event. Event registration is subject to availability and may close earlier than the posted deadline, as determined in our sole discretion.

**Event Changes**

It may be necessary in certain circumstances for nCino to alter the content, format (i.e, switching from live to virtual format), venue, or timing of an Event. All Attendees will be notified of such changes prior to the Event.

Should any such changes occur to an Event, you may cancel your registration as permitted in these Terms but are not otherwise entitled to a refund or price adjustment.

**Hotel and Travel**

Unless specified otherwise on an Event’s registration page, you are responsible for all hotel and travel arrangements and fees/costs in connection with an Event.

**Taxes**

Each party will be responsible for paying all applicable taxes and other governmental fees, charges, penalties, interest, and additions to such taxes that are imposed on that party upon or with respect to the transactions and payments under these Terms. All fees payable by you are exclusive of applicable taxes and duties, including, without limitation, VAT, excise taxes, sales and transaction taxes, and gross receipts taxes (“Indirect Taxes”). nCino may collect Indirect Taxes from you as part of the registration process.

**Cancellation and Refunds**

**By You.** You may cancel any Event registration by following the instructions on an Event registration webpage.

**By Us.** We may cancel an Event at any time for any reasons, including, but not limited to, venue suitability, speaker availability, or health and safety concerns. nCino may also deny, limit, or cancel your Event registration at any time. nCino are not responsible for any damages, direct or indirect, resulting from such cancellation. If we cancel an Event or your registration and you are in compliance with these Terms, you will be issued a refund in for your Event registration fees only.

**Hotel and Travel Fees.** The cancellation of your Event registration does not automatically cancel your travel and travel arrangements. Attendees are responsible for canceling their own hotel and travel reservations regardless of the reason for Event cancellation, and nCino is not liable to you for any such fees associated with these cancellations.

**Privacy**

nCino may collect personal information, including your image, in order to provide you with access to the Event and services during the Event. By registering for an Event, you consent to nCino’s use of your personal information in order to facilitate your registration and offer you services at the Event. Additionally, you consent to the sharing of your registration data (which may include personal data) by nCino to vendors in order to provide Event information, provide event services, and help improve your experience at Event. nCino will ensure that contractual provisions with such vendors i) safeguard your data and ii) require data to be used for purposes of providing services related to the Event.

nCino may also provide your contact information to Event sponsors and/or attendees if you opt-in during the registration process or at any point during an Event (e.g., by scanning a badge at a sponsor booth). If you allow us (or choose) to share your registration information, you consent to the sharing of your personal information by nCino to nCino’s third-party sponsors and partners.

**RFID or other Wearable Devices**

Events may require you to have wearable devices for the duration of the Event. Such wearable devices can range from conference badges to wristbands and may contain Radio Frequency Identification ("RFID"). nCino may use RFID technology to improve the quality of the Event, including, without limitation, by tracking venue capacity and attendee movement patterns and identifying the sessions, booths and activities at the Event that garner the most interest. By registering for and attending an Event, you consent to nCino's use of RFID technology.

The RFID technology can be used in either or both of the following ways:

**Passive RFID** - the technology is preactivated during an Event to help nCino ascertain the venue capacity, the flow of attendee movements and the time spent on certain activities. nCino does not track RFID badges after the Event. Under no circumstance will a third-party company be permitted to use passive RFID at an Event. Personal data linked to passive RFID will be used by nCino exclusively for internal marketing purposes, to improve your experience at future Events, in special circumstances such as financial or physical threat to you, and when required by law. For example, with your consent, we may use your personal data to send out an email asking for feedback from attendees of an Event. The information will not be sold or shared with any third parties.

**Active RFID** - the technology is not preactivated during an Event but instead only activated when a badge is scanned by Attendee at certain sessions and booths. In some instances, third-party companies such as nCino sponsors have the option to scan your wearable device to retrieve the personal information that you provided at registration, including your name, company, and email address. If your data is collected by a sponsor it will be processed according to their privacy and data retention policies. You are not required to allow a sponsor to scan your wearable device. If you are not comfortable with any of the sponsor’s policies, you may refuse to provide them with your data.

Should you wish not to share any personal data from passive RFID used at an Event, please let an onsite nCino representative know at the registration desk at the start of the Event or at any other time during the Event. While you may still be provided with a RFID badge, the correlation between the unique ID code attached to the RFID and your name and other identifiers (the registration contact information) will be removed. The result being that nCino will only have access to de-identified RFID logs and any active RFID scans in which you choose to participate.

**PUBLICITY RELEASE**

You grant nCino, its affiliates, and its independent contractors the right to record, film, photograph, and capture your name, image, and likeness in any media at the Event (the **“Recordings”**). You grant to nCino and its affiliates, agents, employees, and assigns an irrevocable, nonexclusive, perpetual, worldwide, royalty-free right and license to use, reproduce, modify, distribute, and translate, for any purpose all or any part of the Recordings. nCino may edit the Recordings, use them alone or together with other information, and allow others to use and disseminate them. To the maximum extent permitted by law, you waive any moral rights you may have in the Recordings.

**AGE LIMITATIONS**

You must be at least 21 years old to register for and attend the Event. If you choose to consume alcohol, you may be asked to show nCino or any of our vendors a valid ID.

**Event Conduct Code**

nCino is committed to creating and maintaining a positive and productive environment for all Event attendees. nCino believes the best way to accomplish this goal is by fostering an environment at Events where all individuals are treated with respect and dignity in a setting free of harassment, bullying, and other forms of discrimination.

nCino, therefore, expects that all Event attendees shall:

Be considerate, respectful, and collegial.

Avoid personal attacks or derogatory remarks directed toward other attendees.

Not engage in disruptive, intimidating, or harassing behavior.

Consume alcoholic beverages responsibly.

Respect any confidentiality requests by nCino, speakers, and other Attendees and take steps to preserve the confidentiality of all presentations and materials shared with you at an Event.

Be mindful of your surroundings and of other Event attendees.

Comply with all rules, policies, and procedures of the venue at which an Event is being held.

Comply with all applicable laws and regulations in the state or locale where the Event is being held.

Follow nCino guidelines (including the Security and Safety Requirements referenced below) to help prevent transmission of infectious diseases.

Failure to follow this Acceptable Behavior Policy may result in your removal from Event and could include you being prohibited from participating in future Events. No refunds of fees or other costs will be made in these circumstances.

If you notice a dangerous situation or witness unacceptable behavior such as discriminatory or harassing behavior, you may alert nCino representatives on-premises or by email. nCino takes all such reports seriously and has a zero-tolerance policy for any actual or attempted reprisals or retaliation against individuals who raise good faith concerns about dangerous or unacceptable behavior at an Event.

**SECURITY AND SAFETY REQUIREMENTS**

nCino reserves the right to take any security measures that it deems necessary to increase the safety of attendees and exhibitors without prior notice. Event management may conduct security checks at any time during the Event, including, but not limited to, inspections or scans of any Attendee’s person and/or their clothing, bags, containers, and other items. Firearms, explosives, and other weapons and hazardous materials that could be used to cause injury to another Attendee are strictly prohibited at the Event venue and related activities.

All registrations for and your attendance at an Event are subject to all safety and health requirements and policies put in place by nCino, federal, state, and local health officials, and/or the Event venue. Such policies and requirements as they may be updated from time to time (in the sole determination of nCino) and as they may be communicated to you prior to or during the Event (whether orally or in writing) by, for example, instruction provided by nCino personnel or signage in or around an Event venue, are collectively referred to as the “Safety Requirements.” You acknowledge and agree to comply with the Safety Requirements (including all requirements that must be satisfied prior to or during the Event), and your attendance at the Event is conditioned on such compliance.

**ASSUMPTION OF RISK AND RELEASE OF CLAIMS**

**YOU ACKNOWLEDGE AND AGREE THAT YOUR REGISTRATION FOR AND ATTENDANCE AT AND/OR PARTICIPATION IN AN EVENT IS VOLUNTARY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT YOU SOLELY ASSUME THE RISKS ASSOCIATED WITH ATTENDING AND PARTICIPATING IN AN EVENT.**

**TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU (FOR YOURSELF, YOUR HEIRS, DEPENDENTS, PERSONAL REPRESENTATIVES, ASSIGNS, AND ANYONE ELSE WHO MIGHT MAKE A CLAIM ON YOUR BEHALF OR AS A RESULT OF YOUR DEATH OR INJURY) HEREBY COVENANT NOT TO SUE AND RELEASE NCINO AND ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AGENTS, SUCCESSORS, AND ASSIGNS, FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, SUITS, DAMAGES, LOSSES, DEBTS, LIABILITIES, COSTS AND EXPENSES (INCLUDING WITHOUT LIMITATION REASONABLE ATTORNEYS’ FEES AND COSTS) THAT YOU MAY HAVE NOW OR IN THE FUTURE ASSOCIATED IN ANY WAY WITH THE EVENT OR THE RECORDINGS.**

**LIMITATIONS OF LIABILITY**

**NEITHER NCINO NOR IT AFFILIATES WILL NOT BE LIABLE TO YOU UNDER ANY CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, FOR (A) DIRECT DAMAGES, (B) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR (B) LOST PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, OR GOODWILL. THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.**

**GOVERNING LAW**

These Terms and any dispute of any sort that might arise under them are governed by the laws of the State of Delaware, without reference to conflict of law rules. The United Nations Convention for the International Sale of Goods does not apply to these Terms.
