This Code describes standards of conduct for our employees, officers and directors, and provides guidance on how to follow company policies, applicable laws, rules and regulations. We respect human rights, provide fair working conditions, and strictly prohibit supporting or dealing with any business involved in slavery or human trafficking. **Risk Assessment and Low-Risk Industry** We assess that the risk of modern slavery within our business and supply chains is low in view of the industry we operate in, the nature of the solutions we provide, and the profile of our customer base, which primarily consists of highly-regulated banks and financial institutions. Our solutions are implemented through a global partner ecosystem made of leading technology and system integration partners, all of whom undergo extensive due diligence and contractual negotiations before joining our ecosystem. We have assessed that the minimal risk that may exist for modern slavery and human trafficking in our business is likely to come from our supply chain, particularly with third-party vendors. As such, nCino takes a proactive approach to mitigating such risk. **Supplier Due Diligence and Monitoring ** We ensure that all suppliers comply with our ethical standards through our centralized procurement process and our Third Party Risk Management Policy, details of which are available to employees on nCino’s internal intranet site. To ensure that any risk is mitigated and that our suppliers comply with our values, including our zero-tolerance approach to slavery and human trafficking, our suppliers are subject to various forms of vetting as part of our procurement due diligence processes including: a) all suppliers are subject to legal terms and conditions with nCino; b) assessments of potential suppliers are completed as part of the on-boarding process; c) nCino reviews the performance of its suppliers based on relative risk to the company; d) suppliers deemed highest risk are audited or reviewed on a periodic basis and nCino works closely with such suppliers to develop corrective action plans and carry out all audit findings; and e) nCino performs continuous monitoring of suppliers for changes in policies, environments, contracts and processes. **Reporting and Transparency** Employees are encouraged to report any incidents, concerns, or suspicions of modern slavery or human trafficking to nCino’s reporting hotline. nCino takes these reports seriously and will monitor responses and consult with its Legal & Compliance Department to deal with any allegation promptly and appropriately, which may include terminating relationships with non-compliant suppliers or reporting the matter to the relevant authorities.
